Terms of Service
These terms are a binding agreement. They are written to be read, and the parts that limit our responsibility or your right to a refund are marked in bold rather than buried.
1. Who you are contracting with
The Service is provided by ASQUARED SRL, a company incorporated in Romania (“we”, “us”, “our”).
- Registered office: Brasov, Romania
- Trade Register number: J2024032303003
- Sole registration code (CUI): RO50719801
- Contact: hello@getallguide.com
We operate the website at getallguide.com and the application at app.getallguide.com (together, the “Service”).
2. Definitions
“You” or “Host” means the person or entity that creates an account.
“Guest” means a person to whom you issue a link — a booked guest, a cleaner, or anyone else who opens a guide you publish.
“Guest Data” means any personal data relating to a Guest that you or your Guests enter into the Service, including identity details collected through the guest registration feature.
“Host Content” means everything you upload or write: guide text, photographs, video, logos, property details, and links to other services.
“Consumer” means a natural person acting outside their trade, business, craft or profession, as defined by Romanian and EU consumer law.
“Subscription” means a paid plan as described in section 6.
3. Acceptance of these terms
You accept these terms by ticking the acceptance box when you create an account. If you do not accept them, you cannot create an account, and you must not use the Service.
If you accept these terms on behalf of a company or other legal entity, you confirm that you have authority to bind that entity, and “you” means that entity.
We record the date and the version of the terms you accepted. That record is evidence of your acceptance.
4. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract. You must provide accurate account information and keep it current.
You may not use the Service if we have previously terminated your account for breach of these terms.
5. Your account
You are responsible for your account, for keeping your credentials confidential, and for everything done through your account, whether or not you authorised it. We are not liable for loss arising from someone else using your credentials, except where that use results from our own failure.
Tell us promptly at hello@getallguide.com if you believe your account has been compromised.
You may invite or share access with other people — for example by issuing a cleaner link. You remain responsible for what they do.
6. Plans, prices and payment
6.1 Plans
The Service is offered on a Free plan and on a paid Pro plan, with additional properties available as paid quantities on the same subscription. The current plans, their limits and their prices are published at getallguide.com/en/pricing/ and form part of these terms.
6.2 Prices and VAT
Prices are published exclusive of VAT. VAT is added at checkout at the rate applicable to your billing country, based on the address and any tax identification number you provide. You are responsible for the accuracy of the billing details and tax identification number you supply. If you supply details that cause us to charge the wrong amount of tax, you are responsible for the difference and for any penalty or interest we incur as a result.
6.3 Billing and renewal
Subscriptions are billed in advance, monthly or annually according to the term you choose. A Subscription renews automatically at the end of each term, for a further term of the same length, at the price then in force, until you cancel. You may cancel at any time from the billing screen in the application.
6.4 Payment processing
Payments are processed by Stripe. We do not receive, handle or store your card details. Your use of Stripe’s checkout is additionally subject to Stripe’s own terms.
6.5 Failed payment
If a payment fails, we may retry it, and we may suspend or downgrade paid features until payment succeeds. We will not delete your data because of a failed payment. Guests holding a link that is already live are not affected — see section 15.3.
6.6 Price changes
We may change prices. A change to the price of an existing Subscription takes effect at your next renewal, and we will tell you at least 30 days before that renewal. If you do not accept the new price, you may cancel before the renewal date; cancelling is your remedy, and continuing past the renewal date is acceptance.
7. Right of withdrawal, and how it is lost
This section applies to you only if you are a Consumer.
7.1 The right
Under Romanian and EU law on distance contracts, a Consumer normally has 14 days from the conclusion of the contract to withdraw without giving a reason.
7.2 How it is lost
The Service is digital content and a digital service supplied immediately. When you purchase a Subscription, you are asked to request that we begin supplying it immediately, and to acknowledge that by doing so you lose your right of withdrawal once supply has begun. If you give that request and acknowledgement, you lose the right of withdrawal in respect of the supply already made, in accordance with Article 16 of Directive 2011/83/EU as implemented in Romania.
7.3 If you do not give it
If you do not ask for immediate supply, your Subscription starts after the 14-day period ends, and you may withdraw within it by writing to hello@getallguide.com.
7.4 What withdrawal does not cover
The right of withdrawal has never applied to the Free plan, because no payment is made.
8. Refunds
Read this section carefully. It limits when you can get money back.
8.1 The general position
Fees are non-refundable. We do not give refunds, in whole or in part, for:
- a change of mind after supply has begun;
- a period you paid for but did not use;
- capacity you paid for but did not use, including properties you did not create;
- cancellation part-way through a term;
- a downgrade part-way through a term;
- suspension or termination of your account for breach of these terms;
- your failure to configure the Service, or your failure to use a feature;
- an interruption falling within section 12 or section 18.
8.2 What happens when you cancel
Cancellation stops the next renewal. It does not refund the current term. Your paid features remain available until the end of the term you have paid for, and your account then moves to the Free plan.
8.3 When we will refund
We will refund you where Romanian or EU law requires it. In particular, where the Service is not in conformity with this agreement, you may require us to bring it into conformity; if we fail to do so within a reasonable time, or if the lack of conformity is serious, you are entitled to a proportionate price reduction or to terminate and receive a refund proportionate to the period for which the Service was not in conformity. Nothing in this section removes those rights.
8.4 Discretionary refunds
We may give a refund in a case not listed above. Doing so once does not oblige us to do so again, and is not an admission that a refund was owed.
8.5 Chargebacks
If you dispute a charge with your bank or card issuer without first contacting us and allowing us a reasonable opportunity to resolve the matter, we may suspend your account until the dispute is resolved. Please write to hello@getallguide.com first.
9. What the Service is — and what it is not
9.1 What it does
The Service lets you write a guide for a property and issue links through which Guests can read it. It can collect arrival times and, where you switch that feature on, guest registration details, and it can present them back to you and export them.
9.2 What it does not do
The Service is a record-keeping and presentation tool. It is not a compliance, legal, tax or accounting service. In particular, and without limitation, the Service does not:
- submit, file or report anything to any public authority, including the Romanian tourism information system (SIT) or any successor system;
- obtain, verify or manage any registration code, including a SITUR code;
- calculate, collect, declare or remit any tourist tax, local tax, VAT on your own bookings, or any other tax you may owe;
- issue invoices to your Guests, or transmit anything to any electronic invoicing system;
- verify the authenticity of any identity document, or confirm that a Guest is who they say they are;
- send messages, emails or notifications to your Guests on your behalf;
- integrate with any property management system or booking channel other than by importing calendar data in iCal format.
Meeting your legal, regulatory, tax and reporting obligations is yours alone. You must not rely on the Service, on anything on our website, or on anything we say in support, as legal, tax or regulatory advice. Take your own professional advice.
9.3 Features change
We develop the Service continuously. We may add, change, or remove features. Where we remove a feature that is material to a paid plan and you are materially disadvantaged, your remedy is to cancel under section 6.6.
10. Your obligations and acceptable use
You must:
- use the Service lawfully, and comply with every law that applies to you as a host, including accommodation, registration, tax, consumer and data protection law;
- hold every permission, registration, licence and authorisation you need to let the property;
- have the right to use all Host Content you upload;
- provide your Guests with the information about their personal data that data protection law requires you to provide, and have a valid legal basis for collecting it;
- keep the credentials and links we issue you reasonably secure.
You must not:
- upload anything unlawful, defamatory, obscene, discriminatory, infringing, or harmful;
- upload anything containing malware, or attempt to breach, probe, overload or circumvent the Service’s security, rate limits or access controls;
- use the Service to collect personal data you have no lawful basis to collect, or to collect more than the purpose requires;
- use the Service to store special categories of personal data — for example health, biometric, religious or political data — beyond what the guest registration feature is designed to collect;
- resell, sublicense, rent or provide the Service to third parties as a service of your own, unless we agree in writing;
- copy, decompile or reverse engineer the Service, except to the extent that restriction is prohibited by law;
- use automated means to extract data from the Service other than through features we provide;
- misrepresent your identity, or impersonate anyone;
- use the Service to send unsolicited commercial messages.
We may investigate suspected breaches and take the steps in section 15.
11. Host Content and licence
You keep all rights you have in Host Content. We claim no ownership of it.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, adapt in format, and display Host Content only so far as is necessary to operate and provide the Service to you and to your Guests, and to keep backups. This licence ends when you delete the content or close your account, subject to backups that expire on their normal cycle.
You are responsible for Host Content. You warrant that it does not infringe anyone’s rights and is not unlawful. We do not review Host Content before it is published, but we may remove content we reasonably believe breaches these terms or the law.
12. Availability
We aim to keep the Service available, but the Service is provided without any guaranteed level of availability, and we do not offer a service level agreement, service credits, or uptime commitment on any plan.
The Service may be unavailable during maintenance, during upgrades, or because of the failure of a third party we depend on, including our hosting, database, storage and payment providers. We will not be liable for unavailability, and unavailability does not entitle you to a refund, except where section 8.3 applies.
13. Support
Support is provided by email at hello@getallguide.com, in English and Romanian, during Romanian business days. We do not commit to a response time. We aim to answer within two working days.
14. Third-party services
The Service depends on third parties, including Google (authentication and database), Scaleway (file storage), Vercel (hosting), Stripe (payments) and, where you enable it, DeepL (translation). Their processing of personal data is described in our Privacy Policy.
Where you connect a calendar feed from a booking channel, or link to any third-party service from your guide, we are not responsible for that service, its availability, its content, or its terms.
15. Suspension and termination
15.1 By you
You may stop using the Service at any time and delete your account from the application. Cancellation of a Subscription is governed by section 8.2.
15.2 By us
We may suspend or terminate your account, immediately and without refund, if you materially breach these terms, if we are required to by law, if your use creates a security, legal or reputational risk, or if you fail to pay. Where it is reasonable and lawful to do so, we will give you notice and an opportunity to put the breach right.
We may also terminate a Free account that has been inactive for more than 12 months, after giving you notice by email at least 30 days beforehand.
We may discontinue the Service as a whole. If we do, we will give at least 60 days’ notice and refund the unused portion of any Subscription you have paid for in advance, which is your sole remedy in that event.
15.3 Guests are not caught in the middle
If your account is suspended, downgraded or unpaid, links already issued to Guests for stays in progress will continue to work until they expire. Billing is a matter between you and us.
15.4 After termination
On termination we will delete your account data within 90 days, other than data we must keep by law — invoicing and accounting records in particular — and backups that expire on their normal cycle. Export anything you need before you terminate. We are not obliged to retain or return your data after that period.
16. Intellectual property
The Service, its software, design, text, trade marks and the name GetAll Guide are ours or our licensors’ and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service during your subscription, and nothing more. No other right is granted, by implication or otherwise.
If you send us feedback or suggestions, we may use them without restriction and without owing you anything.
17. Warranties and disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, and we exclude all warranties, conditions and terms not expressly set out in this agreement, whether implied by statute, common law or otherwise.
Without limiting that, we do not warrant that the Service will be uninterrupted, error-free, or secure against every attack; that it will meet your requirements; that defects will be corrected; or that it will cause you to comply with any legal obligation.
This section does not exclude anything that cannot lawfully be excluded. If you are a Consumer, your statutory rights, including your rights under Directive (EU) 2019/770 concerning contracts for the supply of digital content and digital services, are unaffected.
18. Limitation of liability
Read this section carefully. It limits what we owe you.
18.1 What we are never liable for
To the fullest extent permitted by law, we are not liable for:
- loss of profit, revenue, bookings, business, contracts, goodwill or anticipated savings;
- loss or corruption of data, except where we caused it by failing to take the security measures described in our Privacy Policy;
- indirect or consequential loss of any kind;
- any fine, penalty, tax, interest or sanction imposed on you by any authority, including for failing to register Guests, to file with SIT, or to pay tourist tax;
- any act or omission of a Guest, a cleaner, or anyone else you give access to;
- the content, accuracy or lawfulness of Host Content;
- the failure, unavailability or act of any third-party service listed in section 14.
18.2 Cap
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with this agreement, in any 12-month period, is limited to the greater of (a) the total fees you paid us in the 12 months before the event giving rise to the claim, and (b) EUR 100.
18.3 What is never limited
Nothing in this agreement limits or excludes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for our intentional misconduct or gross negligence, or for anything else which cannot lawfully be limited or excluded. If you are a Consumer, this section applies only so far as consumer law permits, and your mandatory rights are unaffected.
18.4 Time limit
To the fullest extent permitted by law, you must bring any claim within 12 months of becoming aware of the circumstances giving rise to it.
19. Indemnity
This section does not apply to Consumers.
If you are not a Consumer, you will indemnify us against all losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from: your breach of these terms; your Host Content; your use of the Service; your failure to comply with any law applicable to you as a host; and any claim by a Guest or authority relating to personal data for which you are the controller.
20. Data protection
Our processing of personal data is described in our Privacy Policy, which forms part of these terms.
In short, and as explained there:
- We are the controller of your account data.
- You are the controller, and we are the processor, of Guest Data. You decide what to collect, why, and for how long. You are responsible for having a lawful basis, for informing your Guests, and for answering their requests.
- Section 12 of the Privacy Policy contains the data processing terms required by Article 28 GDPR, and applies between us as controller and processor.
21. Changes to these terms
We may change these terms. We will publish the new version on this page with a new version number, and where the change materially affects your rights or obligations we will notify you by email or in the application at least 30 days before it takes effect.
Continuing to use the Service after the change takes effect is acceptance of the new terms. If you do not accept them, your remedy is to stop using the Service and cancel before the change takes effect. Changes required by law may take effect sooner where the law requires.
22. Force majeure
We are not liable for any failure or delay caused by an event beyond our reasonable control, including war, civil unrest, natural disaster, epidemic, industrial action, failure of a public telecommunications network, act of government, or the failure of a third-party provider on which the Service depends.
23. General
Assignment. You may not assign or transfer this agreement without our written consent. We may assign it to an affiliate or in connection with a merger, reorganisation or sale of assets, provided your rights are not reduced.
Notices. We give notice by email to the address on your account, or in the application. You give notice to hello@getallguide.com. Notice is effective when sent.
Entire agreement. These terms, the Privacy Policy, and the plan details published on our pricing page are the entire agreement between us and replace anything said before. If you are not a Consumer, you confirm you have not relied on any statement not set out in them.
Severability. If any provision is held invalid or unenforceable, it is severed or narrowed to the minimum extent necessary, and the rest continues in force.
No waiver. A failure to enforce a provision is not a waiver of it.
No third-party rights. Nobody other than you and us has any right to enforce these terms. Guests acquire no rights under them.
Order of precedence. If these terms conflict with the Privacy Policy on the processing of personal data, the Privacy Policy prevails.
Language. These terms are written and concluded in English. Any translation is provided for convenience only, and the English text governs.
24. Governing law and jurisdiction
These terms are governed by Romanian law.
If you are not a Consumer, the courts of Romania have exclusive jurisdiction.
If you are a Consumer, this does not deprive you of the protection of the mandatory rules of the law of the country where you live, and you may bring proceedings in the courts of that country. We will bring any proceedings against a Consumer only in the courts of the country where that Consumer lives.
25. Complaints and dispute resolution
Please write to hello@getallguide.com first. We will acknowledge your complaint and try to resolve it.
If you are a Consumer and we cannot resolve it, you may contact the Romanian National Authority for Consumer Protection (Autoritatea Națională pentru Protecția Consumatorilor, ANPC), or use an approved alternative dispute resolution body under Romanian Law 140/2017 on the alternative resolution of consumer disputes. Contact details for ANPC are published at anpc.ro.
Using an alternative dispute resolution procedure does not affect your right to go to court.
